1. Booking and Confirmation

2. Rental Period and Charges
The rental period begins upon release of the equipment and ends upon complete return. Charges apply regardless of actual, partial, or non-use. One (1) rental day is equivalent to a maximum of sixteen (16) consecutive hours. Overtime charges apply beyond this period for both equipment and manpower.

3. Caretaker Requirement
All rentals require an IM Rentals-designated caretaker or crew unless otherwise approved. Any waiver is subject to IM Rentals’ sole discretion and may be denied, conditioned, or revoked at any time.

4. Identification and Security
The Client or authorized representative must present at least one (1) valid original government-issued ID and consents to verification, photocopying, and photo documentation. Accepted IDs are limited to a Philippine Driver’s License (subject to LTMS verification) or a valid Philippine Passport.
IM Rentals may require one or more of the following as a condition for release or waiver approval: security deposit, advance payment, company or personal guarantee, credit card authorization, or other reasonable security arrangements. Where a caretaker is waived, stricter requirements may apply. Failure to provide sufficient identification or security shall result in denial of release or cancellation without liability on the part of IM Rentals.

IM Rentals may require a security deposit of up to fifty percent (50%) of the equipment’s replacement value. The deposit shall be refunded only after complete return and inspection. Any damage, loss, delay, or related cost shall be deducted, without prejudice to further claims.

6. Payment Terms
Payments shall be made to IMx Innovations Inc. unless otherwise agreed. Full payment is due on the rental day unless otherwise agreed in writing. Any unpaid balance shall accrue interest at ten percent (10%) per month, compounded monthly, until paid in full. IM Rentals reserves the right to suspend services for non-payment.

7. Cancellation
Cancellations within twelve (12) hours of pickup are subject to a 30% fee. Cancellations within six (6) hours are subject to a 50% fee.

8. Extensions and Late Returns
Any extension of the rental period must be approved in advance. Unauthorized extensions shall be charged at applicable overtime or daily rates and may be treated as a breach of this Agreement. Late returns may incur additional charges, penalties, and recovery costs.

9. Crew Welfare and Logistics
The Client shall provide transportation, adequate meals, beverages, and accommodations for overnight or extended productions, unless otherwise agreed. Meals must be sufficient and timely, and accommodations must be safe and suitable for rest. Failure to comply allows IM Rentals to charge the Client, suspend operations, or withdraw services without liability.

10. Safety, Conduct, and Compliance
IM Rentals strictly complies with applicable safety regulations. The Client shall ensure a safe working environment, humane working conditions, and respectful treatment of personnel at all times.

11. Right to Refuse or Withdraw
IM Rentals may immediately refuse, suspend, or withdraw personnel and/or equipment without liability in cases of unsafe conditions, legal violations, inadequate crew welfare, security risks, or unprofessional conduct. All payments shall remain non-refundable, and the Client shall remain liable for all costs incurred.

12. Responsibility and Risk of Loss
The Client assumes full responsibility for the equipment from release until return, including loss, theft, damage, or misuse, whether caused by the Client, its representatives, or third parties, except where solely caused by IM Rentals personnel.

13. Use, Handling, and Restrictions
The Client shall use the equipment only for its intended purpose and in accordance with proper operating standards. The Client shall not sub-rent, lend, modify, or allow unauthorized use of the equipment without prior written consent from IM Rentals.

14. Inspection and Acceptance
The Client acknowledges that all equipment has been inspected and accepted in good working condition upon release. Any defects must be reported immediately. Failure to do so constitutes acceptance otherwise.

15. Replacement, Repair, and Downtime
The Client shall pay the full cost of repair or replacement at current market value, including sourcing, shipping, and administrative costs. In addition, downtime fees shall be charged at the standard rental rate per day for the entire period during which the equipment is unavailable, until it is fully repaired or replaced.

16. Title and Ownership
All equipment remains the sole property of IMx Innovations Inc. The Client acquires no ownership rights and shall not represent otherwise.

All storage media shall be erased and reformatted upon return unless otherwise agreed. The Client is solely responsible for backing up data. IM Rentals shall not be liable for any data loss.

18. Indemnity
The Client agrees to indemnify and hold harmless IMx Innovations Inc., its officers, employees, and representatives from any claims, damages, or liabilities arising from use of the equipment, breach of this Agreement, or third-party claims.

19. Insurance
The Client is responsible for securing any desired insurance coverage. IM Rentals does not provide insurance unless expressly agreed.

20. Limitation of Liability
IM Rentals shall not be liable for indirect, incidental, or consequential damages, including production delays or loss of profits. Any liability shall not exceed the total rental fees paid.

21. Force Majeure
IM Rentals shall not be liable for delays or failures due to events beyond its control, including natural disasters, government actions, power outages, civil disturbances, or unforeseen technical issues.

22. Data Privacy
In accordance with the Data Privacy Act of 2012, the Client consents to the collection and processing of personal data for verification, contract enforcement, and security purposes.

23. Personal Guarantee
For corporate clients, the authorized signatory binds itself as solidarily liable with the Client for all obligations under this Agreement.

24. Governing Law and Jurisdiction
This Agreement shall be governed by Philippine law. Any disputes shall be subject to the courts of San Juan City.

This Agreement and the SOA constitute the entire agreement between the parties and supersede all prior discussions.
